PRODUCT MAINTENANCE AGREEMENT - ACADEMIC and NON-PROFIT
Terms and Conditions
QSR International Pty Ltd (QSR) shall during the continuance of the Product Maintenance Agreement (the Agreement) provide, and the Licensee agrees to accept, product maintenance and support on the following terms and conditions:
1. QSR may provide, from time to time, product updates and upgrade versions of the licensed QSR product including documentation.
2. QSR will respond to reasonable support enquiries by electronic mail and facsimile. Responses via telephone within Australia only.
3. Maintenance will be provided only for the current release of the Product unless otherwise agreed with QSR.
4. Support will be provided during normal business hours - Monday to Friday, 08:30am to 17:00pm, Australian Eastern Standard Time.
5. Any upgrades provided under this agreement are for the use of the Licensee only.

Agreement shall remain in force for twelve months from date of purchase of the Agreement. The Licensee may renew the Agreement upon expiry of this period, for a further period of twelve months. The Agreement may be terminated at any time upon giving written notice to the other if that other party shall be in breach of the terms or conditions herein contained and shall have failed within a reasonable time to rectify such breach at the request in writing of the other party.

Charges
The Licensee shall be charged for the Product Maintenance Agreement at the prices stated on the QSR website at www.qsrinternational.com. Prices are subject to change without notice.
The Licensee shall be able to transfer an existing Product Maintenance Agreement from one product to another when upgrading, for no additional cost.

General
No waiver, alteration, modification or addition to the Agreement shall be valid unless made in writing on or after the acceptance of the Agreement by an authorised signatory of QSR.
The Licensee shall pay all taxes and duties applicable in connection with this Agreement. The Licensee accepts sole responsibility for any taxes and duties incurred in connection with this Agreement.
QSR shall not be liable to the Licensee for any delay or failure to perform its obligations under this Agreement or otherwise if such delay or failure arises from any cause beyond the reasonable control of QSR.

Law and Arbitration
The agreement shall be considered as a Contract made in Australia and subject to Victoria, Australia Law. QSR International Pty Ltd (ABN 47 006 352 213) 2nd Floor, 651 Doncaster Road, Doncaster Victoria 3108, Australia
